L'association AVAS, compte
tenu de l'actualité, a décidé de présenter trois nouvelles résolutions lors de
l'AG mixte de TotalFinaElf le 7 mai prochain. Lors de l'AG de 2000, AVAS avait
tenté en vain de présenter des projets de résolution portant sur les principes
de gouvernement d'entreprise.
Cette fois-ci nous pensons
que ces résolutions seront soutenues par plusieurs investisseurs
institutionnels européens et américains, fortement attachés au respect des
principes de gouvernement d'entreprise.

SHAREHOLDER RESOLUTIONS–AGM OF TOTALFINAELF, 7
MAY, 2002
Presented by AVAS Groupe TotalFinaElf
The recent collapse of a US giant energy trading
group, with the alleged complicity of its auditors (a member of one of the
biggest audit and management consultancy firms), and the various consequences
that will inevitably follow, all serve to highlight the need to establish
regulatory mechanisms for financial markets and to reinforce internal controls
within companies.
AVAS, the Association of Employed and Retired
Shareholders of TotalFinaElf, with the backing of several institutional
investors, recommends that its fellow shareholders support the following three
resolutions, which are matters of Ordinary Business and related to the approval
of the Board’s report and the auditor’s report.
w First Resolution
The General Meeting recommends that the Board
guarantee to shareholders the integrity of the company’s accounts by proceeding
with the implementation, within a reasonable and specified time period, of
measures that will reinforce:
- the independence and the effectiveness(or
accountability) of the Board’s directors
- the essential role of the Audit Committee, which
should be composed of a majority of independent directors
w Second Resolution
The General Meeting recommends that the Board
formally commit to providing shareholders with appropriate assurances of:
- the transparency and integrity of the company’s
accounts by introducing measures that will ensure the independence and
accountability of the auditors and thereby, the quality of their certification.
wThird Resolution
The General Meeting acknowledges and supports the
principle of stock option plans. However, the effectiveness of the Nomination
and Remuneration Committee should be enhanced by:
- introducing detailed disclosure to shareholders of
conditions underlying executive fixed and variable remuneration
- ensuring that option plans are effectively linked
to performance criteria based on
financial performance, corporate
responsibility and risk management.

Le désastre récent d'un grand groupe énergétique
américain, avec la complicité présumée de ses commissaires aux comptes
appartenant à l'un des premiers cabinets d'audit du monde, les conséquences
multiples qui s'ensuivront…font prendre conscience de la nécessité de mettre en
place des mécanismes de régulation des marchés financiers, et de renforcer les
contrôles internes à l'intérieur des entreprises.
L'Association
AVAS, soutenue par un certain nombre d'Actionnaires Institutionnels recommande
à l'AG des Actionnaires de bien vouloir approuver trois résolutions nouvelles qui se rattachent
à un point précis de l'ordre du jour: l'approbation des rapports du Conseil
d'Administration et des Commissaires aux Comptes.
Elles ont
pour objectif de garantir aux actionnaires:
L’indépendance et la responsabilité
des administrateurs et des commissaires aux comptes, la qualité des travaux des
Comités spécialisés du CA, conformément aux principes de gouvernement d'
entreprise codifiés par l' OCDE, l'ICGN et l'AFG-ASFFI.
La transparence et la sincérité des
comptes du Groupe, la transparence dans la rémunération des cadres dirigeants,
en particulier dans le processus d’attribution et le suivi des stock-options,
afin de prendre en considération les orientations récentes des pouvoirs publics
français et des instances européennes.
wPremière Résolution:
"L’Assemblée
Générale recommande au Conseil d’Administration de garantir aux actionnaires,
la transparence et la sincérité des comptes de l'entreprise par des mesures
prises dans un délai raisonnable qui d'une part renforceront l'indépendance et
la responsabilité des Administrateurs, et d'autre part qui garantiront le rôle
déterminant pour ce faire du Comité d'Audit composé majoritairement
d'Administrateurs indépendants".
wDeuxième Résolution:
«L’Assemblée
Générale recommande au Conseil d’Administration de garantir aux actionnaires la
transparence et la sincérité des comptes de l’entreprise par des mesures prises
sans délai qui attesteront de l’indépendance et de la responsabilité des
Commissaires aux Comptes, et de ce fait, de la qualité de leur certification».
wTroisième Résolution:
"L’Assemblée
Générale recommande au Conseil d’Administration et à son Comité de Nomination
et des Rémunérations :
de
faire preuve de plus de transparence dans la communication aux actionnaires des
rémunérations directes et indirectes des principaux dirigeants du Groupe ;
de
s'assurer que les plans de souscription ou d'achat d'actions répondent bien à
des critères d'attribution basés sur la performance, la responsabilité et la
maîtrise des risques".
